1. Nature of Services

VyaparX, operated by OneSpider (Udyam Reg. No. UDYAM-HR-05-0110829), is a financial consulting platform.

We provide:

• Financial profile assessment
• Documentation review and readiness consulting
• Guidance in preparing loan application documents
• Consent-based profile sharing with verified lending partners (DSAs/NBFCs/Banks) selected by you

We do NOT:

• Lend money or act as a bank/NBFC
• Guarantee loan approval, sanction, disbursal, interest rate, or terms
• Offer credit repair, score improvement, or DPD resolution services

Loan decisions rest solely with the lending partner based on their policies and criteria.

2. Eligibility & Customer Obligations

• Must be 18 years or older with legal capacity in India.
• Must provide accurate information and valid KYC documents.
• False/forged documents or information will result in termination, no refund, and possible legal action.
• Agree not to misuse platform, engage in unlawful activities, or circumvent service processes.

4. Fees & Payment

• All fees are service-based (never outcome-based) and disclosed before payment.
• Payment receipts are provided for all transactions.
• Fees are not adjusted against loan amounts or lender charges.
• VyaparX follows Payment Aggregator/Gateway norms:
• Business identity, contact details, and policies published on the site
• No storage of card credentials; all payments processed through PCI-DSS compliant gateways

6. Data Privacy & Consent

• Explicit, informed consent is mandatory before sharing SPDI or profile with any third party.
• Consent logged with timestamp, IP, and policy version.
• Data is shared only with chosen partners or contracted service providers under confidentiality.
• Compliance with IT Act, SPDI Rules, and RBI Digital Lending norms ensured.
• No sale/rent/auction of customer data.
• Retention and deletion as per Privacy Policy.

7. Third-Party Partners

• Partners are RBI-regulated DSAs, NBFCs, or Banks verified by VyaparX.
• VyaparX is not liable for lender decisions, timelines, interest rates, or loan terms.
• Loan agreements, disbursals, and repayments happen directly between you and the lender.
• Partner relationships are disclosed transparently; no undisclosed preference.

8. Advertising & Marketing Compliance

• No banned terms ("guaranteed approval", "score boost", "credit repair", "DPD fix") in marketing.
• Ads and landing pages maintain parity — advisory-only positioning.
• Financial services ads follow Google/Meta verified advertiser norms.
• Cookies and trackers are opt-in via a consent manager.

9. Limitations of Liability

VyaparX is not liable for:

• Indirect, incidental, consequential, or special damages
• Loan rejections or terms decided by lenders
• Delays or failures due to third-party systems or force majeure events

Liability cap: Limited to the consulting fee paid for the relevant service instance.

10. Intellectual Property

• All VyaparX content, branding, and materials are proprietary.
• No reproduction or commercial use without written consent.
• Limited license granted for personal use of services only.

11. Indemnity

You agree to indemnify VyaparX, its affiliates, and staff against claims, losses, or damages arising from:

• Breach of these Terms
• Violation of law or third-party rights
• Fraud or misrepresentation
• Unauthorized service/platform use

VyaparX may suspend or terminate services for:

• Breach of Terms
• Fraudulent/illegal activity
• Non-payment
• Regulatory/legal requirements

No refunds for breach-based termination.

14. Changes to Terms

• VyaparX may modify Terms for legal or operational reasons; changes posted on the site.
• Continued use after updates indicates acceptance.
• Material changes notified via email when feasible.

15. Consumer Protection & Compliance

• Transparent pricing, no hidden charges, no unfair trade practices.
• Service limitations and partner disclosures always communicated clearly.
• Adheres to RBI, IT Act, Payment Gateway, and Ad Platform guidelines.

16. Delivery & Shipping Policy

Since VyaparX provides digital documentation and consulting services only, there is no physical shipping involved. All services are delivered digitally through:

• Email communication
• Phone consultations
• In-person meetings (where applicable)
• Virtual meetings
• Our online platform
